1 Service Description

Confirmalia is a software-as-a-service (SaaS) platform that allows users ("Organizers") to manage event attendance confirmations. Features include, among others, importing guest lists; creating and sending invitations and communications ("Notices") through WhatsApp; sending event-related SMS messages; automatically receiving attendance confirmations (RSVPs); collecting additional information through automated questions; and viewing metrics in a dashboard.

2 User Accounts

To use the Service, you must register and create an account. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

3 Plans, Payments, and Billing

The Service is offered through several plans, including a free plan, a "Lite" plan, and a "Pro" plan. The features and limits of each plan are described on our pricing page.
Payments: paid plans require a valid credit card. Billing occurs on a recurring basis (monthly or annually) at the beginning of each billing cycle.
Automatic Renewal: your subscription will renew automatically at the end of each cycle unless you cancel it before the renewal date.
Payment Failures: if a payment is declined, we reserve the right to suspend access to paid features after a seven-day grace period during which you may update your payment method.
Prices and Taxes: all prices are stated in Mexican pesos (MXN) and include VAT unless otherwise indicated. We reserve the right to modify prices and features with prior notice.

4 Cancellation and Refund Policy

Cancellation: you may cancel your paid subscription at any time from your account settings. Your access to paid features will continue until the end of the billing cycle already paid for.
Refund: we offer a full refund if requested within the first seven calendar days after your first subscription payment. After this period, payments are non-refundable.

5 User Content and Acceptable Use

You are the sole owner of and are responsible for the content you upload to the platform, including contact lists, messages, and any other information ("User Content").

You must have each guest's explicit consent to contact them through WhatsApp, SMS, or any other channel used for the purposes of your event. Before sending an SMS, you must obtain the guest's prior, direct, and voluntary consent and retain reasonable evidence of that consent.
You must not use the Service to send spam, unsolicited messages, or content that is illegal, fraudulent, harassing, defamatory, or infringes third-party rights.
You must not upload purchased contact lists or lists obtained without the individuals' consent.
You must comply with the messaging provider's policies, telecommunications carrier requirements, and the privacy and communications laws applicable in the recipient's country.

We reserve the right to suspend or terminate any account that, in our judgment, violates this acceptable use policy. In serious cases, we may suspend an account without prior notice. In less serious cases, we will send a notice to the registered email address before suspension.

6 Data Privacy

We respect your privacy and that of your guests. Our use of personal data is governed by our Privacy Notice. CHAMBITA LAB S.A.P.I de C.V., located at Calle Doctor José Luna Ayala Número 120, Interior C3, Colonia San Jerónimo, Monterrey, Nuevo León, C.P. 64640, is the data controller under Mexico's Federal Law on the Protection of Personal Data Held by Private Parties.

7 Intellectual Property

The software, the "Confirmalia" trademark, logo, design, interfaces, and all content related to the Service are the exclusive property of CHAMBITA LAB S.A.P.I de C.V. or its licensors.

The user is granted a limited, non-exclusive, non-transferable, and revocable license to use the Service solely under the terms set forth herein. The user does not acquire any intellectual property rights through use of the Service.

8 Limitation of Liability

The Service is provided "as is," without warranties of any kind. To the fullest extent permitted by law, CHAMBITA LAB S.A.P.I de C.V. will not be liable for direct, indirect, incidental, or consequential damages resulting from the use of, or inability to use, the Service. Our total liability in any event will be limited to the amount you paid us during the three (3) months preceding the claim.

9 Use of WhatsApp

The User acknowledges that using WhatsApp as a communication channel depends on the availability and policies of WhatsApp Inc., which are outside Confirmalia's control. We do not guarantee the delivery or receipt of messages beyond our control.

10 Use of SMS Messaging

The Confirmalia Event Messages program allows Organizers to send transactional SMS messages related to a specific event, such as invitations, personalized RSVP links, and essential event updates. This program may not be used for purchased lists, lead generation, unsolicited messages, or promotional communications without separate consent that complies with applicable law.

Consent: the Organizer must first obtain the guest's direct, explicit, and voluntary authorization to receive SMS messages about that event and must retain a reasonable record of the authorization. Consent is not a condition of purchasing a product or participating in the event.
Frequency and Charges: message frequency varies by event. Message and data rates from the recipient's carrier may apply.
Help and Opt-Out: the recipient may reply HELP for help or STOP to stop receiving SMS messages from the sending number. Additional help is available at hola@confirmalia.com.
Delivery: SMS messages are transmitted through external service providers and telecommunications carriers. Confirmalia and wireless carriers do not guarantee timely delivery and are not liable for delayed or undelivered messages outside their control.

11 Changes to the Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through a notice on the platform or by email. Continued use of the Service after notice constitutes your acceptance of the revised terms.

12 Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the federal laws of Mexico and the laws of the State of Nuevo León. Any dispute will be subject to the exclusive jurisdiction of the competent courts in Monterrey, Nuevo León, México.
